1. SUBJECT OF THE CONTRACT. GENERAL PROVISIONS

1.1. Under this contract the Custodian undertakes to store the item delivered to it by the Client and to return that item in safe condition.

1.2. The Client delivers for storage under this contract the following property (hereinafter in the text of the contract the “Item”):

___________________________________________________________________

___________________________________________________________________

___________________________________________________________________

1.3. This contract is concluded for a term until: ____________________.

1.4. The delivery of the Item by the Client to the Custodian for storage is certified by issuing to the Client the following document: ____________________________, which is returned to the Custodian upon the end of storage.

2. OBLIGATIONS OF THE CUSTODIAN

2.1. The Custodian undertakes to:

a) store the Item for the term of this contract;

b) take, for the safekeeping of the Item delivered to it, the measures whose application is required by law, other legal acts or the procedure established by them (fire safety, sanitary, security, etc.);

c) also take, for the safekeeping of the Item, measures consistent with business customs and the substance of this contract, including the properties of the Item delivered for storage;

d) take, for the safekeeping of the Item, the following additional measures: video surveillance and admission to the warehouse premises exclusively when accompanied by representatives of the Custodian;

e) not use the Item delivered for storage without the Client’s consent, nor allow third parties to use it, except where use of the stored Item is necessary to ensure its safekeeping and does not contradict this contract;

f) immediately notify the Client of the need to change the storage conditions of the Item provided for in this contract and await the Client’s reply.

2.2. If a change in the storage conditions is necessary to eliminate the danger of loss, shortage or damage of the Item, the Custodian is entitled to change the method, place and other storage conditions without waiting for the Client’s reply.

2.3. If during storage a real threat of spoilage of the Item arises, or the Item has already been spoiled, or circumstances have arisen that make it impossible to ensure its safekeeping, and timely measures on the part of the Client cannot be awaited, the Custodian is entitled to sell the Item or part of it on its own at the price prevailing at the place of storage. If those circumstances arose for reasons for which the Custodian is not responsible, the Custodian is entitled to compensation of its sale expenses out of the purchase price.

3. TRANSFER OF THE ITEM TO A THIRD PARTY FOR STORAGE

3.1. The Custodian may not, without the Client’s consent, transfer the Item to a third party for storage, except where it is compelled to do so by force of circumstances in the interests of the Client and is unable to obtain the Client’s consent.

3.2. The Custodian must immediately notify the Client of the transfer of the Item to a third party for storage.

3.3. Upon transfer of the Item to a third party for storage, the terms of this contract remain in force, and the Custodian is liable for the actions of the third party to whom it has transferred the Item for storage as for its own.

4. STORAGE FEE

4.1. The storage fee is: __________ RSD per month.

4.2. The storage fee for the Item is paid on a 100% prepayment basis. The Client must pay for the first month of storage on the day this contract is concluded. The fee for subsequent storage periods must be paid no later than 1 (one) calendar day before the first date of the next unpaid period. By agreement with the Custodian, the Client may pay the fee several months in advance.

4.3. If payment of the storage fee is overdue by more than half of the period for which it is payable, the Custodian is entitled to withdraw from performance of this contract and to demand that the Client immediately collect the Item delivered for storage.

4.4. If storage is terminated before the agreed term expires for reasons for which the Custodian is not responsible, the Custodian is entitled to a proportionate part of the fee, and in the case provided for in clause 2.2 of this contract, to the entire amount of the fee.

4.5. If storage is terminated early for reasons for which the Custodian is responsible, the Custodian may not demand a storage fee and must return to the Client the amounts received on account of that fee.

4.6. If, after the storage term expires, the stored Item has not been taken back by the Client, the Client undertakes to pay the Custodian a proportionate fee for the further storage of the Item. This rule also applies where the Client is obliged to collect the Item before the storage term expires.

4.7. The Custodian’s expenses for storing the Item are included in the storage fee.

4.8. Expenses for storing the Item that exceed ordinary expenses of this kind and that the parties could not foresee when concluding the storage contract (extraordinary expenses) are reimbursed to the Custodian if the Client consented to these expenses or approved them afterwards, as well as in other cases provided for by law or other legal acts.

4.9. If extraordinary expenses need to be incurred, the Custodian must ask the Client for consent to these expenses. If the Client does not communicate its disagreement within the period specified by the Custodian, or within the time normally required for a reply, the Client is deemed to have agreed to the extraordinary expenses.

If the Custodian incurred extraordinary storage expenses without obtaining the Client’s prior consent, although the circumstances of the case made this possible, and the Client subsequently did not approve them, the Custodian may claim reimbursement of the extraordinary expenses only within the limits of the damage that could have been caused to the Item had those expenses not been incurred.

4.10. Extraordinary expenses are reimbursed by the Client in addition to the storage fee.

5. OBLIGATIONS OF THE CLIENT

5.1. The Client warrants to the Custodian that the Item delivered for storage:

- belongs to the Client on a lawful basis;

- is not property that, under the legislation, is withdrawn from or restricted in circulation.

In addition, the Item delivered for storage must not be perishable or contain any plants, animals or living beings.

5.2. Upon expiry of the storage term, the Client undertakes to collect the Item delivered for storage immediately.

7. LIABILITY OF THE CUSTODIAN

7.1. The Custodian is liable for loss, shortage or damage of the Item unless it proves that the loss, shortage or damage occurred as a result of force majeure, or because of properties of the Item of which the Custodian, when accepting it for storage, did not know and should not have known, or as a result of intent or gross negligence of the Client.

8. EXTENT OF THE CUSTODIAN’S LIABILITY.COMPENSATION OF LOSSES CAUSED TO THE CUSTODIAN

8.1. Losses caused to the Client by loss, shortage or damage of the Item (where it is impossible to return a similar item) are compensated by the Custodian in accordance with the applicable legislation.

8.2. Where, as a result of damage for which the Custodian is responsible, the quality of the Item has changed so much that it cannot be used for its original purpose, the Client is entitled to refuse the Item and to demand from the Custodian compensation of the value of that Item, as well as other losses, unless otherwise provided by law.

8.3. The Client must compensate the Custodian for losses caused by the properties of the Item delivered for storage if the Custodian, when accepting the Item for storage, did not know and should not have known of those properties.

9. FORCE MAJEURE

Such circumstances do not include, in particular, a breach of obligations by the debtor’s counterparties or the debtor’s lack of the necessary funds.

9.2. Upon the occurrence of the circumstances specified in clause 9.1 of this contract, each party must without delay notify the other party of them in writing. The notice must contain data on the nature of the circumstances, as well as official documents certifying the existence of those circumstances and, where possible, assessing their impact on the party’s ability to perform its obligations under this contract.

9.3. If a party does not send, or sends late, the notice provided for in clause 9.2 of this contract, it must compensate the other party for the losses incurred by that other party.

9.4. If the circumstances listed in clause 9.1 of this contract and their consequences continue for more than two months, the parties shall hold additional negotiations to identify acceptable alternative ways of performing this contract.

10. TERMINATION OF STORAGE AT THE CLIENT’S REQUEST

10.1. The Custodian must, at the Client’s first request, return the Item accepted for storage, even if the storage term provided for by this contract has not yet expired.
